Australian Court Reshapes Pint Club Creditor Deal

The Federal Court held that insolvency law allowed it to bind old and new creditors to an amended deed.

Australia’s Federal Court has approved a restructuring device that brings both original and later creditors of the Pint Club association within an amended deed of company arrangement.

The association continued trading while under administration, creating new debts after the first group of creditors had entered the process. A proposed acquisition required those later liabilities to be settled as part of the same rescue. The administrator asked the court to use section 447A of the Corporations Act to adjust how the voluntary-administration provisions applied.

Justice Colvin held that the court had power to make orders treating both groups as bound by the amended deed. The application was allowed in substance, with additional notice requirements designed to address any material contravention of the deed in its original form.

The decision does not erase the distinction between debts incurred before and during an administration. It shows, instead, how the court’s statutory power can be used to adapt the procedure when continued trading has created a second creditor constituency and a viable transaction depends on resolving both sets of claims.

The orders also preserve procedural safeguards. Notice under section 445HA gives affected parties an opportunity to respond where the proposed arrangement may involve a breach of the existing deed.

For restructuring practitioners, the useful point is practical as well as doctrinal: a deed can support a trading rescue, but later creditors cannot simply be folded into it by convenience. The legal mechanism and the opportunity to be heard must be made explicit.
