EU Extends Remedy Deadline for UPM-Sappi Venture

The European Commission has extended the deadline for UPM-Kymmene and Sappi to offer remedies addressing competition concerns over their proposed European paper joint venture.

The companies now have 20 additional working days, moving the remedy deadline to December 9. The extension gives them more time to decide whether changes to the transaction can answer the Commission’s concerns without requiring a prohibition or a more difficult restructuring later in the review.

The proposed venture, valued at about €1.42 billion, would combine significant parts of the companies’ graphic-paper operations. The legal issue is whether the combination would leave customers with too few credible suppliers in markets already shaped by falling demand, mill closures and high fixed costs. In concentrated industrial markets, declining demand does not necessarily remove competition concerns; it can make the loss of an independent producer more consequential.

A remedy proposal may involve asset sales, capacity commitments or other structural changes, but no final package has been announced. Nor has the Commission reached a final decision on whether the transaction is compatible with the internal market.

The added time is therefore a procedural development, not approval. It indicates that the review has reached the stage at which the parties and the regulator are testing whether a workable solution exists. If the companies submit commitments, the Commission may seek market feedback before deciding whether they are sufficient.
