FTC Settles Premier Martial Arts Franchise Claims

Premier Martial Arts’ franchisor and its former sales organisation have agreed to resolve FTC allegations over earnings and ownership claims.

The franchisor behind Premier Martial Arts and its former sales organisation have agreed to pay $1.85 million to resolve Federal Trade Commission allegations that prospective franchisees were misled about earnings and the work required to operate a studio.

The commission said the companies promoted the business as a semi-absentee investment and used financial-performance claims that lacked adequate support. It also alleged violations of the Franchise Rule, which requires important information to be supplied in a prescribed disclosure document before a buyer pays money or signs an agreement.

Under the proposed settlement, affected franchisees would receive monetary relief and some owners would be permitted to cancel their agreements without the penalties that might otherwise apply. The orders also restrict future earnings representations and require clearer substantiation for claims made to prospective buyers.

The defendants have agreed to settle; the allegations have not been established at trial. The proposed orders must complete the required approval process before they become final, and their detailed eligibility provisions will determine which franchisees can obtain cancellation or compensation.

Franchise sales often turn on projections that appear more concrete than the underlying evidence. The case illustrates why regulators distinguish between a general statement of optimism and a representation about likely revenue, profit or required owner involvement. Once a sales pitch gives numbers or a specific operating model, the seller must be able to show a reasonable basis for it and disclose the information in the form federal law requires.
