Visy and Pratt Companies Pay A$4.158 Million Over Late Reports

Twenty-one companies paid ASIC infringement notices alleging that annual financial reports were lodged late.

Twenty-one companies in Australia’s Visy and Pratt group have paid infringement notices totalling A$4.158 million after the corporate regulator alleged that they failed to lodge annual financial reports on time.

Each company paid A$198,000. The notices concerned reports for the financial year ended 30 June 2025, which ASIC said were due by 31 October 2025. The affected entities span financing, packaging, paper, recycling, logistics and property operations within the group.

The enforcement route matters. Payment of an infringement notice resolves the alleged contravention without a court judgment. Under the statutory scheme, payment is not an admission of guilt or liability and does not amount to a criminal conviction. ASIC has therefore recorded an administrative outcome, not a judicial finding that each company committed the alleged breach.

Timely financial reporting allows creditors, investors and regulators to assess the position of large proprietary companies and other reporting entities. ASIC has recently used infringement notices more frequently for failures to meet those obligations, saying that 48 notices worth more than A$9.3 million had been paid since August 2025.

The notices were issued under the Corporations Act framework after the regulator identified the late lodgements. ASIC’s public register records the individual companies and notice references, while the announcement aggregates the financial result across the group.
